intellectual property policy // defensive posture
Product & IP Licensing
This policy governs the ownership and licensing of all intellectual
property created, held, or made available by Jennifer Nine. In summary:
all intellectual property is retained in full by Jennifer Nine, is
non-transferable, and is protected on a defensive basis.
Effective 18 July 2026
The following terms apply to every product, service, deliverable, and item of source or
derivative material produced by Jennifer Nine unless a separate written agreement,
executed by an authorised representative of Jennifer Nine, expressly states otherwise.
1 · Ownership of Intellectual Property
- All intellectual property rights — including but not limited to copyright, database
rights, design rights, patents and patentable inventions, trade secrets, trade marks,
know-how, source code, models, model weights, training and evaluation methods,
architectures, documentation, and any derivative or related works (collectively, the
"IP") — created or developed by Jennifer Nine vest in, and remain the
exclusive property of, Jennifer Nine.
- No sale, assignment, transfer, or conveyance of title in any IP is made, offered, or
implied by the publication of this website, by any communication with Jennifer Nine, or
by the delivery of any product or service, save under a separate written instrument
signed by an authorised representative of Jennifer Nine.
- Where Jennifer Nine performs work for or with a third party, all IP arising from that
work is created by and belongs to Jennifer Nine from the moment of its creation, and the
engagement of Jennifer Nine does not operate to transfer ownership of that IP.
2 · Non-Transferability
- The IP is non-transferable and non-sublicensable. It may not be
sold, assigned, leased, distributed, sublicensed, disclosed, or otherwise made available
to any third party, in whole or in part, without the prior express written consent of
Jennifer Nine.
- Any licence that Jennifer Nine may grant is, unless expressly stated otherwise in a
signed agreement, limited, revocable, non-exclusive, non-transferable, and personal to
the named recipient. No such licence conveys ownership, and no right is granted to
relicense, resell, or redistribute the IP to any further party.
- No provision of the IP to any party — whether as a product, a service, a demonstration,
or otherwise — shall be construed as a waiver of any right of Jennifer Nine, nor as
permission to incorporate the IP into any onward product, service, or dataset.
3 · Defensive Posture
- Jennifer Nine maintains its IP on a defensive basis. The purpose of
this policy is protective: to preserve and safeguard the rights, methods, and works of
Jennifer Nine against unauthorised use, appropriation, reproduction, reverse engineering,
or dilution.
- Jennifer Nine does not aggregate, market, or hold its IP for the purpose of onward
licensing to, or exploitation by, external parties. The IP is held to be used and
protected by Jennifer Nine, not to be shared with or transferred to other sources.
- Jennifer Nine reserves all rights not expressly granted, and reserves the right to
take all lawful measures available to it to defend, enforce, and protect its IP.
4 · Restrictions on Use
Except to the extent expressly permitted in writing by Jennifer Nine, no person may:
- copy, reproduce, republish, or distribute any part of the IP;
- reverse engineer, decompile, disassemble, or attempt to derive the underlying
methods, models, or source of any product or service;
- create derivative works from, or incorporate the IP into other products, services,
datasets, or models;
- remove, obscure, or alter any proprietary notice; or
- use the IP, or any Jennifer Nine name, mark, or branding, in a manner suggesting
endorsement, affiliation, or transfer of rights.
5 · Reservation of Rights
- All rights in and to the IP are expressly reserved by Jennifer Nine. Nothing on this
website or in any related material grants, by implication, estoppel, or otherwise, any
licence or right under any IP except as expressly and unambiguously set out in a signed
written agreement.
- These terms do not limit any right or remedy available to Jennifer Nine under
applicable law, including the laws of copyright, confidence, contract, and unfair
competition.
